TOTAL VOTING RIGHTS

In accordance with the transitional provisions of the Disclosure and Transparency Rules, the Company would like to notify the market of the following:

The Company’s issued share capital comprises 20,160,000 ordinary shares of 25p each and 595,811 8% cumulative preference shares of £1 each which carry no voting rights.  The total number of voting rights is, therefore, 20,160,000.  Excluding preference shares held in treasury, there are 595,603 preference shares in issue.

This figure may be used by shareholders as the denominator for calculating whether or not they are required to notify any interests or changes in interests in the Company, as required by the Disclosure and Transparency Rules.

Including shares held by directors and shares held by the Trustees of the James Latham plc Employee Benefits Scheme, 9.2% of the shares are not in public hands.  There are no restrictions on the transfer of shares
